RYTM Technology OÜ - Terms of Use & Risk Disclosures

Company Information: These Terms of Use ("Terms") govern your use of the RYTM mobile application and related services (collectively, the "Service") provided by RYTM Technology OÜ, an Estonian private limited company (registry code 17155847), with its registered address at Tartu maakond, Elva vald, Käärdi alevik, Kaera tn 7, 61007, Estonia ("RYTM," "we," "us," or "our"). Agreement: By downloading, accessing, or using the RYTM application, you agree to be bound by these Terms and our Privacy Policy https://www.rytm.ai/en/privacy. If you do not agree to these Terms, do not use the Service. "User," "you," and "your" refer to the individual accessing or using the Service.

RYTM provides an AI-powered stock analysis tool designed for retail investors. The Service includes AI-generated evaluations of stocks (e.g., presented as 1-10 numerical scores derived from the AI's analysis criteria), compact analysis of companies, competitor comparisons, explanations derived from financial reports, market data, and news analysis, and an interactive chat feature ("Ask RYTM AI") for specific questions.

Informational Tool Only: RYTM is solely an informational and analytical tool. It is not a brokerage, trading platform, or investment advisory service. We do not facilitate the buying or selling of securities.

Registration: You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information during registration and keep this information updated.

Account Security: You are responsible for safeguarding your account password and for all activities that occur under your account. Notify us immediately at support@rytm.ai if you suspect unauthorized use of your account.

Single Account: You may only create and maintain one account.

Subscription Tiers: RYTM offers a free version of the Service with basic functionality, as well as various paid subscription tiers that provide access to additional features and capabilities. The specific features, benefits, and limitations associated with each subscription plan are detailed on our official pricing page.

Fees and Billing: For a complete and up-to-date comparison of our subscription plans and their respective fees ("Subscription Fees"), please visit the RYTM pricing page at https://www.rytm.ai/en/pricing. Fees will also be displayed within the App prior to any purchase or upgrade. Subscription Fees are quoted exclusive of any applicable taxes unless otherwise stated.

Billing Cycle: Subscriptions are billed in advance on a recurring basis (such as monthly or annually), depending on the plan you select. Payment will be charged at the beginning of each billing period using the payment method you provide (e.g., through the relevant app store or our designated payment processor). You authorize us or our third-party payment processor to charge the applicable Subscription Fees.

Auto-Renewal: To ensure uninterrupted service, your subscription for any paid tier will automatically renew at the end of each billing period unless you cancel it. You may cancel your subscription through your account settings or the relevant app store's subscription management tools at least 24 hours before the end of the current billing period.

Cancellation: You can cancel your subscription at any time. The cancellation will take effect at the end of the current paid billing period, and you will retain access to the paid features until that date. No refunds or credits will be provided for partial subscription periods.

Fee Changes: We reserve the right to change the Subscription Fees at our discretion. We will provide you with reasonable prior notice (e.g., at least 30 days) of any fee changes, typically via email or an in-app notification. Fee changes will apply to the next billing cycle following the notice period. Your continued use of the paid Service after the fee change takes effect constitutes your agreement to pay the modified Subscription Fee amount. If you do not agree to the fee change, you must cancel your subscription before the change takes effect.

Failed Payments: If your payment method fails and you do not update your payment information, we may suspend your access to the paid features of the Service until payment is successfully processed. We reserve the right to retry billing your payment method.

Informational Purposes Only: All content, data, analysis, scores, ratings, evaluations, and other information provided by the Service are for informational and educational purposes only.

Not Investment Advice: RYTM's output is not financial advice, investment advice, tax advice, legal advice, or a recommendation or solicitation to buy, sell, or hold any security or make any other financial decision. Furthermore, RYTM does not provide, and you cannot request from the Service or the company, any form of personalized investment, financial, legal, or tax advice.

User Responsibility: You are solely responsible for evaluating the merits and risks associated with using any information provided by the Service and for your own investment decisions and research.

Seek Professional Advice: RYTM is not a substitute for professional financial advice. We strongly recommend you consult with a qualified and licensed financial advisor, broker, or other financial professional before making any investment decisions.

AI-Based Analysis: The Service utilizes artificial intelligence algorithms to process and analyze large amounts of data, including financial reports, news articles, and market data.

Probabilities, Not Guarantees: AI-generated scores, ratings, labels and analysis reflect assessments based on historical data, algorithms, and probability calculations. They are not predictions or guarantees of future stock performance or market outcomes. Past performance data used or displayed is not indicative of future results.

Limitations & Potential Errors: AI analysis has inherent limitations. Data sources may be incomplete, inaccurate, delayed, or contain errors. AI models may misinterpret data, overlook nuances, or generate inaccurate ("hallucinate") outputs. We do not guarantee the accuracy, completeness, timeliness, or reliability of any information provided by the Service. RYTM Technology OÜ is not liable for any errors, omissions, or inaccuracies in the Service's content.

Data Sources: The Service relies on data obtained from various third-party sources. We do not verify the accuracy of all third-party data and are not responsible for it.

General Investment Risk: Investing in stocks and other financial instruments involves substantial risk. The value of investments can fluctuate, and you may lose part or all of your invested capital. You should only invest money you can afford to lose.

Market Risk: The value of stocks is influenced by market conditions, economic factors, political events, industry trends, and company-specific news, which can cause prices to change rapidly and unpredictably.

Information Risk: Relying on any information, including AI-generated analysis from RYTM, carries risk. You make decisions based on this information entirely at your own risk, acknowledging the limitations and potential inaccuracies described in Section 6.

Technology & Operational Risk: The Service may be subject to interruptions, delays, errors, or security breaches due to factors like software bugs, hardware failures, network issues, or cyberattacks. While we implement security measures, we cannot guarantee the Service will always be available, uninterrupted, or error-free.

Lawful Use: You agree to use the Service only for lawful purposes and in accordance with these Terms.

Prohibited Activities: You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Violate or encourage others to violate the rights of third parties, including intellectual property rights.
• Copy, distribute, modify, reverse engineer, decompile, or attempt to extract the source code of the Service or its components.
• Scrape, data mine, or systematically collect data from the Service.
• Use the Service for any commercial purpose without our express written consent.
• Interfere with the security or performance of the Service, including transmitting viruses or harmful code.
• Share your account credentials or allow others to access your account.
• Engage in any activity that constitutes market abuse.

Ownership: The Service and its original content, features, functionality, data, AI models, and algorithms are and will remain the exclusive property of RYTM Technology OÜ and its licensors. The Service is protected by copyright, trademark, and other laws of Estonia and foreign countries.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as necessary for your personal use.

Your privacy is important to us. Our collection and use of personal information in connection with the Service are described in our Privacy Policy https://www.rytm.ai/en/privacy.

The Service may contain links to third-party websites or services or display information from third-party sources that are not owned or controlled by RYTM Technology OÜ. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access them at your own risk.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied.

RYTM Technology OÜ disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be accurate, reliable, error-free, uninterrupted, or free of viruses or other harmful components.

To the fullest extent permitted by applicable law, in no event shall RYTM Technology OÜ, its affiliates, directors, employees, agents, or licensors be liable for:

• Any investment losses or damages arising from your reliance on information provided by the Service.
• Any indirect, incidental, special, consequential, exemplary, or punitive damages (including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses) arising out of or related to your access to or use of, or inability to access or use, the Service.
• Any errors, omissions, inaccuracies, or delays in the content or functioning of the Service.

Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount of subscription fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred Euros (€100), whichever is smaller. This limitation applies regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless RYTM Technology OÜ and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

By User: You may terminate your account and stop using the Service at any time by cancelling your subscription and deleting the application.

By RYTM: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. We also reserve the right to modify or discontinue the Service at any time.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability). We will retain your data in accordance with our Privacy Policy and applicable law.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, communicated via email or in-app notification. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Governing Law: These Terms shall be governed and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Jurisdiction: You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the Tartu County Court (Tartu Maakohus) in Estonia. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and RYTM Technology OÜ regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
